Terms of Service

1. Acceptance of Terms

By accessing and using Softonic's services, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service. If you do not agree with any part of these terms, you must not use our services.

2. Description of Services

Softonic provides software development, consulting, and related technology services including but not limited to full-stack development, AI/ML solutions, DevOps, cloud infrastructure, and process automation. The specific scope of services will be defined in individual project agreements.

3. Client Responsibilities

Clients agree to provide accurate and complete information required for project execution, timely feedback and approvals as outlined in project timelines, access to necessary systems and resources, prompt payment according to agreed terms, and cooperation with our team throughout the project lifecycle.

4. Intellectual Property Rights

Unless otherwise agreed in writing, upon full payment, clients receive ownership of custom code developed specifically for their project. Softonic retains rights to proprietary tools, frameworks, and methodologies used in development. Pre-existing code, open-source components, and third-party libraries remain subject to their respective licenses.

5. Confidentiality

Both parties agree to maintain confidentiality of proprietary information, trade secrets, and sensitive business data shared during the engagement. This obligation survives the termination of the agreement and extends to all employees, contractors, and agents involved in the project.

6. Payment Terms

Payment terms are specified in individual project proposals and contracts. Standard terms include milestone-based payments for larger projects, upfront deposits for new engagements, and net-30 payment terms unless otherwise agreed. Late payments may incur interest charges and may result in work suspension.

7. Project Modifications

Changes to project scope, requirements, or timelines must be documented in writing and may result in adjusted pricing and delivery schedules. We will provide updated estimates for any significant modifications before proceeding with changes.

8. Warranties and Disclaimers

We warrant that our services will be performed professionally and in accordance with industry standards. Software will be delivered substantially free from defects for a period of 30 days post-delivery. We do not warrant that our services will be uninterrupted, error-free, or meet all specific requirements unless explicitly stated.

9. Limitation of Liability

To the maximum extent permitted by law, Softonic's liability for any claim arising from our services shall not exceed the fees paid for the specific services giving rise to the claim. We shall not be liable for indirect, incidental, consequential, or punitive damages.

10. Termination

Either party may terminate an engagement with written notice as specified in the project agreement. Upon termination, the client shall pay for all work completed to date. Softonic will deliver all completed work and relevant documentation. Termination for cause may have additional implications as defined in specific contracts.

11. Force Majeure

Neither party shall be liable for delays or failures in performance resulting from circumstances beyond reasonable control, including natural disasters, war, terrorism, pandemic, government actions, or internet service failures.

12. Dispute Resolution

Any disputes arising from these terms or our services shall first be addressed through good-faith negotiation. If unresolved, disputes will be submitted to binding arbitration in accordance with applicable laws. The prevailing party may be entitled to recover reasonable legal fees.

13. Governing Law

These Terms of Service shall be governed by and construed in accordance with applicable laws, without regard to conflict of law principles. You consent to the exclusive jurisdiction of courts in our primary business location.

14. Modifications to Terms

We reserve the right to modify these terms at any time. Material changes will be communicated through our website or direct notification. Continued use of our services after changes constitutes acceptance of the modified terms.
